1. Acceptance of Terms

By accessing or using Clausi's services—including the CLI ("Auditly CLI"), the API at api.clausi.ai, and the website at clausi.ai—you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, do not use our services.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms. By using Clausi, you represent and warrant that you meet these requirements.

3. Accounts, API Keys & Authentication

Account Registration. To access certain features, you must register for an account (via Clerk). You are responsible for maintaining the security of your account credentials.

API Keys. You may generate API keys for programmatic access. You alone are responsible for the confidentiality and usage of your keys. Any activity performed with your key is deemed to be performed by you.

Suspension/Termination. We reserve the right to suspend or terminate your account or API keys for abuse or violation of these Terms.

4. License & Acceptable Use

CLI License. Clausi grants you a non-exclusive, non-transferable, revocable license to install and use the Auditly CLI for your internal business or personal use, subject to these Terms.

API Use. You may send compliance audit requests to our API in accordance with the usage limits and rate-limits we publish. You agree not to reverse-engineer, redistribute, or abuse the API beyond fair use.

Prohibited Conduct. You may not:

  • Use the service to process personal data you are not authorized to handle.
  • Attempt to probe, scan or test the vulnerability of any system or network.
  • Share your API key or credentials with unauthorized third parties.

5. Billing & Fees

Pricing. Our pricing plans (single audits at $49, unlimited at $199/mo, enterprise at $2k–$5k/mo) are described on our pricing page.

Payment Terms. Payment is due upon subscription or usage. We may suspend service for non-payment after a 7-day grace period.

Refunds. Except as required by law, all payments are non-refundable.

6. Intellectual Property

Your Code & Data. You retain all rights to any code, files, or data you submit for compliance auditing. We do not claim ownership.

Clausi IP. All trademarks, service marks, logos, software, and other materials provided by Clausi remain our exclusive property.

7. Confidentiality

Each party agrees to keep the other's Confidential Information in strict confidence and not to disclose it to any third party without prior written consent. "Confidential Information" includes non-public technical, business, and financial information.

8. Warranties & Disclaimers

No Warranty. THE SERVICES ARE PROVIDED "AS-IS" AND "AS AVAILABLE." CLAUSI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Accuracy. While we strive for accuracy, automated compliance findings are advisory only and do not constitute legal or regulatory advice.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CLAUSI OR ITS AFFILIATES BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS OR REVENUES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. AUGMENTED BY A CAP ON AGGREGATE LIABILITY EQUAL TO THE AMOUNTS YOU'VE PAID CLAUSI IN THE PRIOR 6 MONTHS.

10. Indemnification

You agree to indemnify, defend, and hold harmless Clausi and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses arising out of your use of the service or breach of these Terms.

11. Termination

We may suspend or terminate your access at any time, with or without cause, upon notice. Sections 6 (IP), 7 (Confidentiality), 8 (Disclaimer), 9 (Liability), and 11–14 (termination, governing law, etc.) survive any termination.

12. Modifications to Terms

We may update these Terms from time to time. We'll post the revised Terms with a new "Last updated" date. Continued use of the service constitutes acceptance of the updated Terms.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in San Francisco County, CA.

14. Export Compliance

You agree to comply with all applicable export control laws and regulations. You confirm that you are not located in, under the control of, or a national of any country to which the U.S. has embargoed goods.

15. Entire Agreement

These Terms, together with our Privacy Policy and any other documents expressly incorporated, constitute the entire agreement between you and Clausi regarding the service.
